Terms of Service

The agreement between you and Eider.

Acceptance of these terms

These Terms of Service are an agreement between you and Loftery LLC, the operator of Eider (referred to here as Eider, we, us, or our). They govern your use of the Eider apps, website, and services.

By creating an account or using Eider, you agree to these terms and to our Privacy Policy. If you do not agree, please don't use Eider.

Who can use Eider

You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract, to use Eider. You agree to provide accurate information and to keep it up to date.

Your account

You're responsible for your account and for keeping it secure.

  • Keep your sign-in credentials confidential and don't share your account.
  • You're responsible for activity that happens under your account.
  • Tell us promptly at support@eider.app if you think your account has been compromised.

What Eider is — and isn't

Eider helps you and the people you share a nest with agree on how to split costs and keep track of who owes whom. It is a record-keeping and agreement tool. Eider is not a bank, a money-transfer service, a payment processor, or an escrow service, and it does not hold, move, or collect money.

Balances in Eider reflect what you and your members have recorded — they are a shared record, not a debt that Eider enforces or guarantees. Settling up happens directly between members through their own payment apps. You are responsible for the money you actually owe and pay.

Nests and membership

A nest is a shared space for you and the people you invite. By using a nest, you agree that:

  • The expenses, splits, balances, and settle-ups you record are visible to the other members of that nest.
  • Your split rule and any per-expense changes apply going forward, as shown in the app.
  • If you leave a nest, your membership ends, but the entries you recorded remain part of that nest's shared history for the other members.
  • You should only invite and share a nest with people you trust.

Subscriptions and billing

Eider offers a free plan today. Paid plans with additional features are being introduced; when they become available, the terms below apply to them.

Plans

Our free plan is available at no cost. Paid plans add features such as automation and spending patterns for a recurring fee shown in the app at the time you subscribe. Plan features and prices may change over time, as described below.

Free trials

We may offer a free trial of a paid plan. If you start a trial, you may need to provide a payment method, and unless you cancel before the trial ends, your subscription will begin and your payment method will be charged. We'll tell you the trial terms when you sign up.

Auto-renewal

Paid subscriptions renew automatically at the end of each billing period unless you cancel beforehand. You can turn off auto-renewal at any time, and we send a reminder before a renewal charge where required. Cancelling stops future charges; it does not retroactively refund the current period.

Cancelling and downgrading

You can cancel or downgrade at any time in the app, or — for purchases made through an app store — in your app-store account settings. When a paid plan ends, premium features become unavailable, but your data is retained.

Who pays

A subscription covers a nest, not each individual member. The member who subscribes is responsible for that nest's subscription fee. How members share that cost between themselves is up to them.

Purchases through app stores

If you buy a subscription through the Apple App Store or Google Play, that purchase is also subject to the store's terms, and billing, renewals, and refunds for it are handled by the store under its policies.

Refunds

Except where required by law, subscription fees are non-refundable. For purchases made through an app store, refunds are handled by that store under its refund policy.

Price and plan changes

We may change our prices or the features included in a plan. If a change affects your subscription, we'll give you advance notice, and the change will take effect on your next billing period. Applicable taxes may be added to the price.

Acceptable use

When using Eider, you agree not to:

  • Use Eider for any unlawful purpose or in violation of these terms.
  • Access another person's account or data without permission, or invite someone to a nest under false pretenses.
  • Interfere with or disrupt Eider, or attempt to gain unauthorized access to its systems or to other users' accounts.
  • Reverse-engineer, scrape, or copy the app except as allowed by law.
  • Upload anything malicious or any content that infringes others' rights.

Your content

You keep ownership of the information and content you put into Eider. You grant us the limited permission we need to host, process, and display that content in order to operate Eider for you and your nest members — for example, to store your expenses and show them to your members.

Eider, including its software, design, and branding, belongs to us and our licensors. These terms don't give you any rights to our intellectual property except the right to use the app as intended.

Third-party services

Eider works alongside third-party services — such as payment apps like Venmo, app stores, and, in the future, bank-connection providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

Disclaimers

Eider is provided on an as-is and as-available basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We don't warrant that the app will be uninterrupted or error-free, or that calculations and balances will be free of mistakes.

Eider is a record-keeping tool, not financial, accounting, tax, or legal advice. Balances and splits are estimates based on what you enter. You are responsible for verifying amounts and for the money you actually owe and pay.

Limitation of liability

To the fullest extent permitted by law, Eider and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, money, or goodwill, arising from your use of (or inability to use) Eider. Our total liability for any claim relating to Eider is limited to the greater of the amount you paid us in the twelve months before the claim or fifty U.S. dollars. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold Eider and its operators harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of Eider, your violation of these terms, or your violation of any law or the rights of others.

Suspension and termination

You can stop using Eider at any time, and you can delete your account from Settings — there's a seven-day grace period during which signing back in restores it, after which your data is removed. We may suspend or terminate your access if you violate these terms or use Eider in a way that could harm other users or us. Some provisions — such as ownership, disclaimers, limitation of liability, and indemnification — survive termination.

Governing law and disputes

These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and any disputes will be handled in the state or federal courts located in Colorado, unless applicable law requires otherwise. If any provision of these terms is found unenforceable, the rest remains in effect.

Changes to these terms

We may update these terms from time to time. When we make material changes, we'll update the date above and, where appropriate, notify you in the app. Your continued use of Eider after an update means you accept the revised terms.
